Terms of Use

1. Scope

Any use of this Web Site provided by IXOS Software AG and/or its affiliates (“IXOS”/“IXOS Web Site”) is subject to these Terms of Use. These Terms of Use may be amended, modified or replaced by other terms and conditions, e.g. for the purchase of products and services. With log-in, or where a log-in is not required with accessing or using the IXOS Web Site these Terms of Use are accepted in their current version.

2. Services

This IXOS Web Site contains information, documents and (software) for viewing or downloading. IXOS may stop the operation of the IXOS Web Site in full or part at any time. Due to the nature of the internet and computer systems IXOS cannot accept any liability for the continuous availability of the IXOS Web site.

3. Rights to use Information, Software and Documentation

The use of any information, software and documentation made available on or via the IXOS Web Site is subject to these Terms of Use or, in case of the existence of a previous license agreement subject to the applicable license terms. Separately agreed license terms shall prevail over these Terms of Use.

3.1 Documents

IXOS grants a non-exclusive and non-transferable license, which may not be sub-licensed, to use the documents available from this Web Site, such as white papers, press releases and FAQ, provided that

  • the provided copyright notice appears in all copies and that both the copyright notice and this permission notice appear,
  • use of such Documents from this Server is for informational and non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media
  • the User observes the laws on copyright protection and does not modify any documents.

The use for any other purpose is expressly prohibited by law, and may result in severe criminal and civil penalties. Violators will be prosecuted to the maximum extent.

3.2 Software

IXOS grants the user a non-exclusive, non-transferable license, which may not be sub-licensed, to use the software made available via the IXOS Web Site, provided that

  • the use of such software is for informational and non-commercial or personal use and will not be copied or posted on any network computer,
  • the software may not be distributed by the User to any third party at any time nor may it be rented or in any other way made available,
  • the User shall not modify, reverse engineer or decompile the software or separate any part of it;
  • the User observes the laws on copyright protection and does not modify, conceal or remove any code, marks or copyright notices from the software.

The User may make one backup copy of the software where necessary to secure future use in accordance with the above. The use for any other purpose is expressly prohibited by law, and may result in severe criminal and civil penalties. Violators will be prosecuted to the maximum extent.

3.3 Information

Documents specified under 3.1 do not include the design or layout of the www.ixos.com Web site or any other IXOS owned, operated, licensed or controlled site. Elements of IXOS Web sites are protected by trade dress and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from any IXOS Web site may be copied or retransmitted unless expressly permitted by IXOS.

5. IXOS Logos

Use, reproduction, copying, or redistribution of IXOS logos is strictly prohibited without written permission from IXOS. If your organization has a pre-existing agreement with IXOS, that agreement, along with the specific guidelines for each logo, will specify your rights and obligations regarding use of IXOS logos. Additional information for authorized distributors of IXOS software is available upon request. If you do not have an agreement with IXOS, you do not have permission to use IXOS logos.

6. Hyperlinks

The IXOS Web Site may contain Hyperlinks, which will let you leave IXOS’s Web Site. The linked sites are not under the control of IXOS and IXOS is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. IXOS is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by IXOS of the site.

7. Liability for Defects of Title or Quality

Insofar as any information, software or documentation is made available at no cost, any liability for defects as to quality or title of the information, software and documentation especially in relation to the correctness or absence of defects or the absence of claims of third party rights in relation to completeness and/or fitness for purpose are excluded except for cases involving willful misconduct or fraud.

The information on the IXOS Web Site may contain specifications or general descriptions related to the possibilities of IXOS`s products and services which may not be available in certain cases (e.g. due to product changes). The required performance of the product or the service shall therefore be mutually agreed in each case at the time of purchase.

8. Other Liabilities, Viruses

8.1 Other Liabilities

The liability for defects in relation to quality and title shall be determined in accordance to § 7 of these Terms of Use. Any further liability of IXOS is excluded unless required by law, e.g. under the Act on Product Liability or in cases of willful misconduct, gross negligence, personal injury or death, failure to meet guaranteed characteristics, fraudulent concealment of a defect or in case breach of fundamental contractual obligations. The damages in cases of breach of fundamental contractual obligations are limited to the contract-typical, foreseeable damage if there is no willful misconduct or gross negligence.

8.2 Viruses

Although IXOS makes every endeavor to keep the IXOS Web Site free from viruses, IXOS cannot make any guarantee that it is virus-free. The user shall for its own protection take the necessary steps to ensure appropriate security measures and shall utilize a virus-scanner before downloading any information, software or documentation.

8.3 No Change of Burden of Proof

§§ 8.1 and 8.2 do not intend or imply any changes to the burden of proof to the User`s disadvantage.

Any supplementary agreements require written form.
