Open Text Announces Extension of Proposal to Merge With PC DOCS Group International Inc.

Waterloo, ON - 1998-12-08 - Open Text Corporation (NASDAQ:OTEX; TSE:OTC), the worldwide leader in Web-based collaborative knowledge management software, today announced an extension of its offer to merge with PC DOCS Group International Inc. (NASDAQ:DOCSF, TSE:DXX).

Open Text is disappointed by PC DOCS' rejection of its merger proposal, in particular given that PC DOCS did not take the opportunity to discuss the terms of the proposed transaction with Open Text since its disclosure a week ago. Although PC DOCS has indicated to Open Text that it considers any further communications would be unproductive, Open Text has extended its proposal until December 11, 1998 to provide PC DOCS with a further opportunity to meet to discuss this proposal.

Under the terms of the proposed merger, stockholders of PC DOCS would receive 1 share of Open Text for each 4.0 shares of PC DOCS common stock. The transaction, as proposed, would be subject to various conditions as well as applicable securities regulations.
