Open Text Announces Withdrawal Of Proposal To Merge With PC DOCS Group

Waterloo, ON - 1998-12-14 - Open Text Corporation (NASDAQ:OTEX; TSE:OTC), the worldwide leader in Web-based collaborative knowledge management software, today announced it has withdrawn its proposal to the Board of Directors of PC DOCS Group to merge by plan of arrangement with PC DOCS Group International Inc. (NASDAQ:DOCSF, TSE:DXX).

Open Text is disappointed with PC DOCS Group's Board of Directors position that any discussion with Open Text would be unproductive and is puzzled by their Board's unwillingness to discuss the proposal with Open Text since its announcement. Open Text believes that its proposal, which included over a 35% market value premium to the shareholders of PC DOCS Group, was reasonable. Open Text continues to believe that a business combination has great merit and could create additional value for shareholders of both companies.
